Acting on the £35million acquisition of a group of 12 care homes in the North East; Acting on the restructure of a portfolio of 24 leasehold care homes assets spread throughout England and Wales and their sale to a major national operator; Acting on the £15million acquisition of a group of 6 care homes in the West Midlands; Acting on the £11million share acquisition of a Care Home Operator based in Yorkshire; Acting on the sale from administration of several groups of Care Homes.

Employment Advice

Acting in connection with the drafting of staff contracts and staff handbooks, including policies and procedures; Advising on the TUPE transfer of over 1100 staff in connection with a large restructure of a care operator’s business; Advising on the implications of maternity on redundancy discussions for a care provider; Advising a number of care providers in the provision of general employment advice, including issues with the working time directive and the national minimum wage; Defending Employment Tribunal claims including wrongful and unfair dismissal, whistleblowing, sex, and race discrimination.

Finance

Acting in connection with the provision of an acquisition and development finance facility for the acquisition of a small group of care homes in the East Midlands; Acting on a number of acquisition finance facilities for two major National Banks in connection with the acquisition of Care Home businesses; Acting in connection with the restructuring of £30+million of existing finance facilities, including a revolving credit facility, term loan, overdraft and hedging facilities; Acting in the refinancing of a £12million finance facility in relation to a portfolio of Care Home assets for a national operator.

Litigation & Dispute Resolution

Successfully negotiating the resolution of a dispute arising out of a web-based service provider’s desire to sell a package of employment related webservices to NHS Trusts, and advising in relation to potential judicial review proceedings in respect of the same issue; Successfully Defending a National Care Home Operator in relation to s.20 Emergency Closure proceedings; Representing a Care Provider at a Coroner’s Inquest following the death of three residents from pressure sores; Advising a Care Provider in relation to an investigation by the CQC following an allegation of abuse; Advising a Care Provider in relation to the early closure of an ongoing investigation by the authorities in relation to ISA safeguarding matters following the acquisition of the Care Home by that provider; Advising in connection with landlord and tenant disputes; Advising in connection with a range of debt collection matters and enforcement, contractual disputes with suppliers and professional negligence claims.
